Welcome to Modstylez. The terms “we,” “us,” and “our” refer to Modstylez. Modstylez operates this online store and website, including all related information, content, features, tools, products, and services provided to you (collectively, the “Services”). Our store is powered by Shopify, which enables us to provide the Services.

These Terms of Service (“Terms”), together with the policies referenced in them, explain your rights and responsibilities when you access or use the Services.

Please read these Terms carefully. They contain important information about your legal rights, including warranty disclaimers and limitations of liability.

By accessing, browsing, or using the Services, or by purchasing a product from us, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you should not access or use the Services.

Section 1 – Access and Accounts

By agreeing to these Terms, you represent that you are at least the age of majority in your state or jurisdiction of residence. If you permit a minor dependent to use the Services on a device you own or manage, you accept responsibility for their use of the Services.

To browse the store, create an account, or place an order, you may be asked to provide information including your email address, billing information, payment information, and shipping address. You agree that all information you provide is accurate, current, and complete and that you have the right to provide it.

You are responsible for keeping your account credentials secure and for activity conducted through your account. You may not sell, transfer, assign, or license your account to another person.

We make reasonable efforts to display and describe our products accurately. However, colors and appearance may vary depending on your device, screen settings, lighting, and other technical factors.

We do not guarantee that every product will meet your individual expectations. Nothing in these Terms limits any rights you may have under applicable consumer protection law or our published Return and Refund Policy.

Product descriptions, prices, and availability may be updated without prior notice. We reserve the right to discontinue products or limit the quantities available to any person, household, geographic area, or jurisdiction where permitted by law.

Section 3 – Orders

Submitting an order constitutes an offer to purchase products from Modstylez. An order is accepted only after payment has been authorized and we send an order confirmation or otherwise confirm acceptance.

We reserve the right to refuse, limit, or cancel an order for legitimate reasons, including suspected fraud, unauthorized payment activity, pricing or inventory errors, product unavailability, or violations of these Terms. If we cancel an order after payment has been collected, we will issue a refund to the original payment method.

Please review your order information carefully before submitting it. If you need to request a cancellation or change, contact us as soon as possible at hello@modstylez.com. We cannot guarantee that an order can be changed or canceled after it has entered processing or has been shipped.

Returns, exchanges, and refunds are handled according to our Return and Refund Policy.

Products purchased through the Services are intended for personal or household use and not for unauthorized commercial resale or export.

Section 4 – Prices, Payments, and Billing

Prices are displayed in United States Dollars (USD) unless otherwise stated. Prices, discounts, and promotions may change without notice. The price charged will be the price shown at checkout and confirmed in your order confirmation.

Applicable taxes are calculated and displayed during checkout. Free standard shipping is available for eligible United States orders in accordance with our Shipping Policy.

Promotions may be subject to separate terms, eligibility requirements, expiration dates, and exclusions. Unless expressly stated otherwise, promotional offers and discount codes cannot be combined. If promotion-specific terms conflict with these Terms, the promotion-specific terms will apply to that promotion.

You agree to provide accurate and complete billing, payment, and account information and to update that information when necessary.

By submitting payment information, you represent that:

• Charges related to your order will be honored by your payment provider.
• You will pay the amount displayed at checkout, including applicable taxes.

Available payment methods are those displayed during checkout and may vary depending on your device, location, or payment provider.

Section 5 – Shipping and Delivery

We currently provide free standard shipping to eligible addresses within the United States.

Orders are generally processed within 1–3 business days. After shipment, estimated transit time is 6–9 business days, resulting in an estimated total delivery time of 7–12 business days.

Delivery times are estimates and are not guaranteed. Delays may occur due to carrier disruptions, severe weather, public holidays, incorrect or incomplete addresses, or other circumstances outside our reasonable control.

Nothing in this section limits rights or remedies available under applicable law for products that are lost, damaged, or not delivered.

Section 6 – Intellectual Property

The Services and their content, including trademarks, brand names, logos, text, graphics, images, videos, audio, reviews, layouts, designs, and software, are owned by or licensed to Modstylez, Shopify, or their respective licensors and are protected by applicable intellectual property laws.

You may use the Services only for lawful, personal, and non-commercial purposes. Unless we provide prior written permission, you may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, sell, or exploit any material from the Services.

No provision in these Terms grants you a license or ownership interest in any trademark, copyright, patent, or other intellectual property belonging to Modstylez, Shopify, or a third party. All rights not expressly granted are reserved.

Modstylez is powered by Shopify, which enables us to provide the Services. However, all sales and purchases made through our store are made directly between you and Modstylez.

By using the Services, you acknowledge that Shopify is not responsible for any aspect of a sale between you and Modstylez, including injury, damage, or loss resulting from products or services purchased from Modstylez. To the fullest extent permitted by applicable law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or relating to your purchases and transactions with Modstylez.

Personal information collected through the Services is handled according to our Privacy Policy. Certain personal information may also be processed by Shopify according to the Shopify Consumer Privacy Policy.

Because Shopify hosts the Services, information you submit may be processed by Shopify and service providers located in countries other than your country of residence. If you submit reviews, comments, ideas, suggestions, proposals, photographs, or other content (“Feedback”), you grant Modstylez a worldwide, perpetual, sublicensable, transferable, royalty-free license to use, reproduce, modify, publish, distribute, translate, and display that Feedback in any medium for purposes including operating, improving, and promoting the Services.

You represent that:

• You own or have the necessary rights to submit the Feedback.
• Your Feedback is accurate and does not mislead others.
• You have disclosed any compensation or incentive associated with the Feedback.
• Your Feedback does not violate any law, these Terms, or another person’s rights.
• Your Feedback does not contain malicious software or harmful code.

We are not required to keep Feedback confidential, provide compensation for it, or respond to it. We may monitor, edit, or remove Feedback that we reasonably determine is unlawful, misleading, abusive, defamatory, obscene, infringing, or otherwise violates these Terms.

Section 12 – Errors, Inaccuracies, and Omissions

The Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, prices, promotions, shipping charges, delivery estimates, or availability.

We reserve the right to correct errors, update information, or cancel affected orders where permitted by law. If an order is canceled after payment has been collected, we will issue a refund to the original payment method.

You may use the Services only for lawful purposes. You may not use the Services, directly or indirectly:

To the fullest extent permitted by law, Modstylez and its affiliates, directors, officers, employees, agents, contractors, licensors, service providers, and business partners, as well as Shopify and its affiliates, will not be liable for indirect, incidental, punitive, special, exemplary, or consequential damages, including lost profits, lost revenue, lost savings, loss of data, or replacement costs, arising from or relating to your use of the Services or products purchased through the Services.

This limitation applies regardless of whether the claim is based on contract, tort, negligence, strict liability, or another legal theory and even if the possibility of damages was known.

Some jurisdictions do not allow certain limitations or exclusions of liability. In those jurisdictions, our liability will be limited only to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot lawfully be limited.

Section 18 – Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Modstylez, Shopify, and their respective affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, damages, liabilities, and reasonable legal fees arising from:

• Your material breach of these Terms.
• Your unlawful use of the Services.
• Your violation of applicable law or another person’s rights.

We will notify you of an indemnifiable claim when reasonably practical. Failure to provide prompt notice will not relieve you of your obligations unless the delay materially prejudices your ability to respond. We may control the defense and settlement of a claim, but we will not agree to a settlement that imposes a non-monetary obligation on you without your reasonable consent.

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law or severed to the minimum extent necessary. The remaining provisions will continue in full force and effect.

We may assign or transfer these Terms and our rights and obligations as part of a merger, acquisition, corporate reorganization, sale of assets, or other lawful business transaction.

These Terms and any separate agreement through which we provide the Services are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

To the extent permitted by applicable law, legal proceedings arising from or relating to these Terms or the Services will be brought in the state or federal courts serving Santa Rosa County, Florida, and you consent to the jurisdiction of those courts.

Nothing in this section deprives you of mandatory consumer protections or rights available under the laws of your place of residence.
